ZEROBOX Association
These are the terms and conditions (“Terms”) governing participation in the zero.box community platform (“Platform”) operated by ZEROBOX Association (“Association”), a company limited by guarantee incorporated in England and Wales, registered office 167-169 Great Portland Street, 5th Floor, London, W1W 5PF, United Kingdom. By applying for and accepting participation, you agree to be bound by these Terms. Where applicable, these Terms operate alongside the Articles of the Association of ZEROBOX Association, which govern participation rights and obligations within the ecosystem.
1. Interpretation
1.1 “Application Form”("Sign Up Form") means the online Sign Up Form with the title “Join the ZEROBOX Network” to be completed and submitted to the Association in order to become a Participant.
1.2 “Association” means ZEROBOX Association, a company limited by guarantee incorporated in England and Wales.
1.3 “Contract Term” means a period of twelve months, renewable on a yearly basis until terminated by either party.
1.4 “Participant” means the person or company named on the Sign-Up Form who has been confirmed by the Association or its delegate.
1.5 “Participants Directory” means the page on the Platform detailing the name, employer, business contact details and description of each Participant.
1.6 “Participation Fee” means the payment (if any) made by a Participant to the Association to cover participation costs for the Contract Term.
1.7 “Platform” means the zero.box website and any other related webpages designated by the Association or its delegate from time to time.
1.8 “Specified Service” means the service provided by the Association as set out in clause 3.
1.9 “Sign Up Form” means the online form with the title “Join the ZEROBOX Network”, which applicant needs to be complete and submit to the Association in order to become a Participant.
2. Participation Application
2.1 Applicants must complete and submit the Sign-Up Form available on the Platform at www.zero.box and submit it to the Association.
2.2 The Association reserves the right to refuse any application at its sole discretion.
2.3 After the completion of the sign up, the Participant will have access to the Platform.
2.4 Companies that derive a significant percentage of their revenues from controversial or conventional military weapons or any defence-related institutions shall not be admitted for participation.
3. Participation Categories and Services
3.1 The Association offers three categories of participation:
3.1.1 Promoter: Access to the ZEROBOX network and the right to promote the ZEROBOX ecosystem.
3.1.2 Partner: Access to the ZEROBOX Network and the right to produce and sell products under the ZEROBOX brand, subject to a trademark licence granted under clause 8.
3.1.3 Supplier: Access to the ZEROBOX Network and the right to manufacture components of the ZEROBOX-system as a licenced Supplier.
3.2 The Association reserves the right to amend the scope of services and participation categories on reasonable notice.
4. Contract Term and Payment
4.1 The Contract Term commences on the date the Association accepts the Participant’s application and continues unless terminated in accordance with these Terms.
4.2 The Participation Fee (if applicable) is as set out in the Application for Participation Form or as communicated by the Association from time to time.
4.3 The Association reserves the right to adjust Participation Fees on giving reasonable written notice. Continued use of the Platform following such notice constitutes acceptance of the revised fee.
5. Warranties and Liability
5.1 The Association warrants that it will provide the Specified Service with reasonable skill and care.
5.2 The Association does not exclude liability for death or personal injury caused by its negligence, nor for fraud or fraudulent misrepresentation.
5.3 Subject to clause 5.2, the Association’s total liability to a Participant arising under or in connection with these Terms shall not exceed the total Participation Fees paid by that Participant in the twelve months preceding the claim.
5.4 The Association shall not be liable for indirect, consequential, or special losses, loss of profits, or loss of data.
6. Termination of Participation
6.1 Either party may terminate participation by giving 30 days’ written notice to the other party.
6.2 The Association may terminate or suspend a Participant’s access immediately if the Participant is in material breach of these Terms, including but not limited to breach of clause 8 (Trademark Licence).
6.3 On termination, the Participant shall immediately cease all use of the Platform and, where a trademark licence has been granted, comply with clause 8.6.
7. General
7.1 Participation grants access to certain areas of the Platform. If a Participant cancels their participation, access will cease.
7.2 By submitting an enquiry or contact form, Participants give express permission for their details to be added to the Association’s database for contact and legitimate business purposes.
7.3 Participants are asked to keep email marketing to other Participants to a minimum and to include an opt-out facility in every email. The Association reserves the right to suspend a Participant’s access in the event of complaints.
7.4 Information shared with the Association through the Platform may be shared with other Participants, including name, address, email, company information, services provided, and order/production details.
7.5 Participants agree to conduct themselves in a professional and business-like manner, always treating other Participants with respect.
7.6 Participation is at the sole discretion of the Association, which reserves the right to refuse participation.
7.7 Waiver. No failure or delay in exercising any rights under these Terms shall be deemed a waiver of that right.
7.8 Confidentiality. Each party undertakes not to disclose any confidential information of the other party except to employees, officers or advisers who need to know such information, or as required by law.
7.9 Notices. Any notice to the Association is to be sent by email to connect@zero.box or such other email address as the Association may notify from time to time. Notices to the Participant will be sent to the address on the Sign Up form.
7.10 Severance. If any provision of these Terms is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid. If such modification is not possible, the relevant provision shall be deemed deleted.
7.11 Entire Agreement. These Terms constitute the entire agreement between the parties relating to participation in the Platform and supersede all previous agreements relating to their subject matter, save that where a Participant is also a Participant under the Articles of Association of the ZEROBOX Association, these Terms operate alongside and are subject to those Articles.
7.12 Variation. No variation of these Terms shall be effective unless it is in writing and signed by the parties.
7.13 Force Majeure. Neither party shall be in breach of these Terms nor liable for delay or failure to perform any obligation if such delay or failure results from events, circumstances or causes beyond their reasonable control.
7.14 Third Parties. No one other than a party to these Terms shall have any right to enforce any of its terms.
7.15 Governing Law. These Terms, and any dispute or claim arising out of or in connection with them, shall be governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
8. Trademark Licence
8.1 Ownership. The ZEROBOX trademark, including any associated logos, trade names, and branding (the “Mark”), is the property of bdxpq gmbh, a company incorporated under Swiss law (“Trademark Owner”). bdxpq gmbh has authorised the Association to manage and control use of the Mark on its behalf as part of its governance of the ZEROBOX ecosystem. Nothing in these Terms or in any Partner Participation shall transfer or assign any ownership rights in the Mark to a Participant.
8.2 Grant of Licence. Subject to clause 8.1 and the conditions set out in this clause 8, the Association, acting on behalf of and with the authority of the Trademark Owner, hereby grants to Partner Participants a limited, non-exclusive, royalty-free, revocable licence to use the ZEROBOX Mark solely in connection with the production and sale of approved products as a Participant of the ZEROBOX Network.
8.3 Quality Control. The Partner Participant agrees to use the ZEROBOX Mark only in the manner and form approved by the Association from time to time, and in accordance with brand guidelines issued by the Association on behalf of the Trademark Owner. The Association retains the right to review and approve use of the Mark on products and materials at any time.
8.4 Restrictions. The Partner Participant shall not: (a) sub-licence the Mark to any third party; (b) modify, alter or create derivative works of the Mark; (c) register the Mark; or attempt to register the Mark or any confusingly similar mark in any jurisdiction; or (d) use the Mark in any manner likely to damage the reputation or goodwill associated with the Mark.
8.5 No Ownership Rights. A Partner Participant acquires no proprietary right, title, or interest in or to the Mark by virtue of admission as a Partner Participant or the grant of any licence. Any goodwill generated through use of the Mark shall accrue exclusively to the Trademark Owner.
8.6 Revocation. The Association may revoke the licence at any time, with or without cause, by giving the Partner Participant not less than 30 days’ written notice. Upon revocation or termination of participation, the Partner Participant shall immediately cease all use of the ZEROBOX Mark and shall, upon request, destroy or return any materials bearing the Mark.
8.7 No Warranty. The Association and the Trademark Owner make no warranty that use of the ZEROBOX Mark by a Partner Participant will not infringe the rights of any third party.
The ZEROBOX Network is operated by ZEROBOX Association, an independent not-for-profit company limited by guarantee dedicated to advancing reusable packaging, storage and logistics systems for the circular economy.
